Trading Terms (Terms of Sale)

These Trading Terms apply to all products and services supplied by JW Joinery & Bespoke Furniture (“we”, “us”, “our”). By requesting a quotation, placing an order, paying a deposit, or instructing us to begin work, you agree to be bound by these Trading Terms.

If separate written terms are agreed with trade customers, those agreed terms will take priority where they conflict with these Trading Terms.

1. Definitions

  • Made-to-Measure / Bespoke Items:
    Any products manufactured to your specific sizes, design, finish, colour, drilling, or specification. This includes (but is not limited to) kitchen doors, drawer fronts, panels, cabinetry, furniture, CNC-cut components and batch orders.

  • Services:
    Any services we provide, including design support, manufacturing, machining, supply of materials, and associated work.

  • Order:
    Your instruction for us to supply products and/or services.

2. Quotations and Orders

2.1 All quotations are valid for 30 days unless stated otherwise and are subject to material availability and supplier pricing.

2.2 An Order is only accepted once we confirm acceptance in writing (including by email or invoice) and the required deposit has been received.

2.3 For bespoke work, we may require written approval of final details (including sizes, drilling, finishes, colours and drawings) before production begins.

2.4 You are responsible for checking and confirming all details provided or approved by you. Once production has started, changes may not be possible and may incur additional costs.

3. Prices, VAT and Payment

3.1 All prices are in GBP (£). VAT is charged where applicable and will be shown on your quotation or invoice.

3.2 For all made-to-measure orders:

  • A 50% non-refundable deposit is required to secure the order and schedule production.

  • The remaining balance is payable before dispatch or collection, unless agreed otherwise in writing.

3.3 We reserve the right to pause production or withhold dispatch/collection until full payment has been received.

4. Measurements and Customer Responsibility

4.1 Where measurements, specifications or drawings are provided by you (or on your behalf), you are responsible for their accuracy.

4.2 We are not liable for issues arising from incorrect measurements, incomplete information, or changes made after approval.

4.3 Where we attend site to measure (where offered and agreed), you must ensure safe access and suitable site conditions.

5. Lead Times

5.1 Any lead times provided are estimates only and not guaranteed.

5.2 Delays may occur due to material availability, supplier issues, transport delays or circumstances outside our reasonable control.

6. Delivery and Collection

6.1 Delivery arrangements and charges (if applicable) will be confirmed at the time of order.

6.2 Risk passes to you on delivery or collection. Ownership passes once full payment has been received.

6.3 You must inspect goods on delivery or collection:

  • Visible damage: report within 48 hours

  • Hidden damage: report within 3 days

Photographic evidence may be required.

6.4 We are not responsible for damage occurring after delivery or collection, including during storage, handling, or installation.

7. Colours, Materials and Finishes

7.1 Images, renders and samples are for guidance only. Colours may vary depending on lighting, screen settings and material batches.

7.2 Timber and timber-effect materials naturally vary in grain and tone.

7.3 Where professionally sprayed finishes are supplied, minor variations may occur between batches. Exact colour matching cannot be guaranteed unless a physical reference sample is provided.

8. Cancellations and Returns (Important)

8.1 Made-to-measure items are exempt from cancellation for change of mind once production has started, in accordance with consumer regulations for personalised goods.

8.2 If you cancel a bespoke order after work has started or materials have been ordered, you will be liable for costs incurred. This may include loss of all or part of the 50% deposit.

8.3 This does not affect your statutory rights where goods are faulty or incorrectly supplied.

9. Faulty or Incorrect Goods

9.1 If goods are faulty, damaged in transit, or incorrectly supplied, please notify us promptly in accordance with clause 6.3.

9.2 We will repair, replace or refund as appropriate in line with your legal rights.

10. Installation and Third-Party Work

10.1 If installation is carried out by you or a third party, you are responsible for ensuring correct handling and fitting.

10.2 We are not liable for issues arising from installation, site conditions, or alterations carried out by others.

11. Trade and Batch Orders

11.1 Trade and batch orders may be subject to minimum quantities, batch scheduling and agreed lead times.

11.2 Trade pricing is confidential and must not be shared or published without our consent.

11.3 Unless agreed otherwise in writing, trade orders are supplied on the same inspection, payment and liability terms set out in these Trading Terms.

12. Limitation of Liability

12.1 We are liable for foreseeable loss or damage caused by our breach or negligence.

12.2 We are not liable for:

  • losses that are not foreseeable;

  • business losses (including loss of profit, contracts or opportunity);

  • issues caused by incorrect customer specifications or measurements;

  • delays or failures caused by events outside our reasonable control.

12.3 Nothing in these Trading Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

13. Personal Data

13.1 We process personal data in accordance with our Privacy & Cookie Policy.

14. Governing Law

These Trading Terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, unless mandatory consumer law in another part of the UK applies.
